The role

Fund Forge is an initiative to launch six to eight new guarantee and asset backed funds in South and Southeast Asia. It’s supported by a grant-funded technical assistance program that Hyfin runs with The Sunrise Project to cover the legal, structuring, financial modeling and diligence costs of setting up these facilities.

The underlying assets are household and small business loans and leases for rooftop solar, batteries, and electric vehicles across South and Southeast Asia. Each vehicle we launch also builds shared tools (legal templates, models, credit data) so the next one launches faster and cheaper.

The Fund Forge Lead builds and manages the pipeline end to end, leading transactions with originators, local banks and other investors. You'll work closely with Hyfin's founders and our structuring, technology and regional team.

What you'll do

• Source, screen and prioritize vehicle concepts with lenders, originators, guarantors and investors
• Take each vehicle from concept to investment readiness: structure, financial model, legal documentation, diligence and investor materials
• Co-develop grant proposals with pipeline opportunities for technical assistance
• Lead diligence on originators and loan portfolios, including in person
• Select and manage the advisors and outside counsel funded by the program
• Report to grant funders on progress, spend and results
• Represent Hyfin with institutional counterparties and at conferences

What we're looking for

Must-haves

• Investment banking, private credit, project finance or DFI background, with commercial diligence processes you ran yourself rather than staffed
• Emerging markets transaction experience
• Comfortable managing a multi-deal pipeline and reporting to grant funders
• Willing to travel regionally for in-person asset and company diligence

Strong plus

• Clean energy, asset finance or consumer lending exposure
• Fintech or AI exposure
• Credible representing Hyfin at conferences and with institutional counterparties
• Proficiency in one or more languages spoken in our target markets

The role

Most of our markets have a national credit guarantee institution with its own capital, its regulator's trust and a book of local lenders. Few of them guarantee clean energy loans yet. Hyfin designs guarantee facilities with these institutions and raises philanthropic counter-guarantee capital that sits behind their own. The guarantor runs the product in local currency, so no exchange-rate risk reaches the borrower.

Cambodia is first: a $20M electric vehicle guarantee facility with the national guarantor. Facilities in Pakistan and East Africa are following the same template, and we are developing a pipeline of similar facilities in several other Asian and African markets. The initial focus is electric vehicles and agrivoltaics, and we'll expand to other clean energy technologies.

The Director, Guarantee Facilities owns this business end to end: designing facilities, structuring the risk sharing, negotiating with guarantors and raising the capital that backs them. You'll work directly with Hyfin's founders and our in-country leads.

What you'll do

• Design and structure each facility: eligibility, coverage and leverage, pricing, claims process, governance and stop-loss triggers
• Take guarantor partnerships from first meeting through term sheet to board approval
• Raise design grants and counter-guarantee capital from foundations and DFIs, alongside the founders
• Turn our first facilities into a repeatable playbook and document set
• Oversee live facilities: lender onboarding, portfolio performance and reporting
• Hire and manage a small team, plus outside counsel and advisors, as the pipeline grows

What we're looking for

Must-haves

• Hands-on structuring of credit guarantees, risk sharing or credit enhancement (partial credit guarantees, first-loss, counter-guarantees) at a DFI, guarantee institution, bank or blended finance firm. Term sheets you wrote, not ones you reviewed.
• Emerging markets transaction experience in Asia or Africa, ideally both
• Can build and defend a facility model: coverage, leverage, expected loss, fees and claims
• Credible in negotiations with guarantor CEOs, regulators, DFIs and foundation program officers
• Willing to travel heavily across both regions

Strong plus

• Time at a national guarantor or a guarantee-focused DFI (e.g. GuarantCo/PIDG, IFC, ADB, AfDB)
• Consumer, SME or asset finance exposure, especially EVs, solar or agriculture
• Local-currency and FX risk structuring
• Raising philanthropic or catalytic capital: program-related investments, recoverable grants, first-loss
• Has built a product or playbook that was replicated across several markets
• Proficiency in one or more languages spoken in our target markets

The role

We're building a series of funds and guarantee facilities, mostly single-country and some multi-country, with SPV and warehouse structures alongside. Many start at $10-20M. Our investors are development finance institutions (DFIs), foundations, family offices and local banks.

A $10-20M vehicle can't carry a big-firm formation bill, so the aim is a structure that makes each new vehicle quicker and cheaper to set up than the last. Legal Counsel runs fund formation and domicile decisions, drafts and negotiates guarantee documentation, keeps our corporate house in order, and manages outside counsel so we spend less on it. You'll work directly with Hyfin's founders and deal leads.

What you'll do

• Advise on domicile and structure, and run fund formation: limited partnership agreements, offering documents, subscription documents and side letters
• Draft and negotiate guarantee, counter-guarantee and facility agreements with guarantors, lenders and funders
• Handle corporate and commercial work: NDAs, consulting and services agreements, MOUs, LOIs and grant agreements
• Select and manage outside counsel relationships and spend across jurisdictions
• Keep Hyfin PBC and its subsidiaries in good standing: board and shareholder matters, filings, registers and policies
• Build reusable templates so each new vehicle moves faster

What we're looking for

Must-haves

• Emerging markets fund formation you led, including LPAs, PPMs, sub-fund and SPV structures
• Experience negotiating with DFI investors, including their environmental and social and side-letter requirements
• Credit documentation: guarantee, counter-guarantee, risk participation and facility agreements
• Corporate and commercial work: NDAs, consulting and services agreements, partnership MOUs and LOIs
• Practical and fast. You're comfortable as the only lawyer at a startup, you can tell which risks matter, and you know when to brief out.

Strong plus

• In-house experience at a fund manager, DFI or impact investor
• Fund manager licensing
• Delaware public benefit corporations and US foundation capital (program-related investments, recoverable grants)
• Working knowledge of our priority markets in South/Southeast Asia and East Africa
